Terms of Service

These terms govern access to MeroByapaar and explain the responsibilities of the platform, merchants, team members, and storefront visitors.

1. Operator and acceptance

MeroByapaar is operated by the business identified below. By creating an account, joining a merchant team, or using the platform, you agree to these terms and our Privacy Policy. If you act for a business, you confirm that you are authorised to bind it.

2. The service and our role

MeroByapaar supplies tools for merchants to publish storefronts, manage products and orders, connect supported payment and delivery services, and communicate with customers. Unless MeroByapaar is expressly identified as the seller, the merchant—not MeroByapaar—is the seller of goods or services and is responsible for the buyer contract.

Applicable law may nevertheless place duties on an intermediary electronic-commerce platform. Nothing in these terms excludes a responsibility that cannot lawfully be excluded.

3. Accounts and authority

  • You must provide accurate information and keep account credentials secure.
  • Store owners control team access and are responsible for actions taken through authorised accounts.
  • You must promptly remove access for people who no longer represent the business.
  • You must have legal capacity to enter a binding agreement and operate the relevant business.

4. Merchant obligations

A merchant must comply with Nepal's Electronic Commerce Act and other applicable laws, including requirements concerning registration, platform listing, seller identification, customer service, product information, final prices and fees, invoices, delivery, cancellation, return, exchange, warranty, refund, privacy, and grievance handling.

  • Products, inventory, descriptions, prices, taxes, delivery estimates, policies, and claims must be complete and accurate.
  • Licences required for regulated goods or services must be maintained.
  • Prohibited, counterfeit, unsafe, illegal, deceptive, or rights-infringing goods and content may not be offered.
  • Merchants must not fabricate reviews or engage in unfair or misleading trade practices.
  • Merchants must address buyer complaints, refunds, and legally required remedies.

5. Orders, payments, delivery, and disputes

An electronic order may create a contract between the buyer and merchant. The merchant is responsible for fulfilment, invoicing, delivery, cancellation, return, refund, warranty, and customer support. Payment and delivery providers operate under their own terms. MeroByapaar does not guarantee a third party's availability, approval, settlement, delivery time, or reversal decision.

6. WhatsApp Business

A merchant that connects WhatsApp authorises MeroByapaar to use the connected WhatsApp Business assets and encrypted credentials to perform requested messaging functions. The merchant must:

  • obtain valid opt-in before initiating WhatsApp messages and identify the business obtaining consent;
  • use approved templates for business-initiated messages where required;
  • send only expected, relevant messages for the consented purpose;
  • honour STOP, block, unsubscribe, and other opt-out requests promptly;
  • provide an accessible route to human support; and
  • comply with Meta's and WhatsApp's current terms, messaging policies, commerce policies, and charges.

Meta may approve, reject, pause, rate-limit, or disable templates, numbers, or accounts. MeroByapaar does not control those decisions.

7. Fees

Prices, included features, billing periods, taxes, and cancellation terms presented at purchase form part of these terms. Third-party providers may charge separate transaction, messaging, payment, or delivery fees. The merchant is responsible for those fees unless MeroByapaar expressly agrees otherwise in writing.

8. Content and intellectual property

You retain ownership of content you submit. You grant MeroByapaar a limited licence to host, reproduce, transform, and display that content only as needed to operate, secure, and improve the service. You must have the rights and permissions required for all submitted content and customer data. MeroByapaar's software, branding, and documentation remain protected by applicable intellectual-property law.

9. Suspension and termination

We may restrict or suspend access when reasonably necessary to address non-payment, security risk, legal requests, harm, policy violations, or prohibited activity. Where practicable, we will provide notice and an opportunity to remedy the issue. You may stop using the service and request account deletion under our Data Deletion Instructions.

10. Service changes and warranties

We may change features to improve the service, address security, or comply with law. The service is provided using reasonable care and skill, but internet and third-party services may be interrupted. To the extent permitted by law, we do not make warranties beyond those expressly stated. Statutory consumer rights and obligations that cannot be waived remain unaffected.

11. Liability

Each party remains responsible for loss caused by its unlawful conduct, fraud, wilful misconduct, or other liability that cannot legally be limited. Subject to those exceptions and applicable law, MeroByapaar is not responsible for merchant goods, merchant representations, buyer conduct, or failures of independent payment, delivery, telecommunications, hosting, or Meta services.

12. Governing law and grievances

These terms are governed by the laws of Nepal. Send platform complaints to support@merobyapaar.com. Include your contact details, store or order reference, and a description of the issue. We will register the complaint and aim to provide the decision or a reasoned response within 15 days where Nepal's Electronic Commerce Act applies.

13. Changes and contact

We may update these terms prospectively. Material changes will be communicated when required. Continued use after the effective date constitutes acceptance where permitted by law.
